Terms and Conditions

PLEASE READ THIS TERMS OF SERVICE AGREEMENT CAREFULLY BEFORE USING ANY SOFTWARE AND SERVICES PROVIDED BY NATIONWIDE TC.
You agree to the following Terms of Service (“Terms”), which govern your use of all Nationwide TC software, applications, and services (collectively, the “Services”). As used herein, the terms “Nationwide TC,” “us,” “we,” or “our” refer to Nationwide TC, any subsidiary or affiliate of Nationwide TC that provides you any part of the Services, and any employee, agent, independent contractor, designee, or assignee of Nationwide TC that we may, at our sole discretion, choose to involve in the provision of the Services (collectively, the “Nationwide TC Parties”)
Section 1: Agreement, Parties
Agreement to Terms: In consideration of the use of our Services and the mutual agreements contained herein, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Services. If you are accessing or using the Services on behalf of a company (such as your employer) or another legal entity (an “Organization”), you represent and warrant that you have the authority to bind that Organization. If you are accepting these Terms on behalf of an Organization as an authorized administrator of the Services for the Organization (“Administrator”), you represent and warrant that you have the authority to manage your Organization’s use of the Services under these Terms. If you have purchased a specific service plan from Nationwide TC, you acknowledge that these Terms govern the relationship between the parties regarding any such service plan and that these Terms supersede any other agreement between the parties.
IMPORTANT NOTICE REGARDING ARBITRATION: WHEN YOU AGREE TO THESE TERMS, YOU AGREE (WITH LIMITED EXCEPTION) TO RESOLVE ANY DISPUTE BETWEEN YOU AND ANY NATIONWIDE TC PARTIES THROUGH BINDING, INDIVIDUAL ARBITRATION RATHER THAN IN COURT. PLEASE REVIEW SECTION 17, “DISPUTE RESOLUTION,” BELOW FOR DETAILS REGARDING ARBITRATION, INCLUDING THE PROCEDURE TO OPT OUT
Section 2: The Services
2.1 Description of Services
“Transaction Coordination” refers to the facilitative and administrative support provided throughout real estate transactions, including the sale or lease of real property. These services do not require a real estate license. Transaction Coordination is part of the services offered by Nationwide TC and is performed by dedicated transaction coordinators affiliated with Nationwide TC (referred to herein as a “Transaction Coordinator”).
2.2 Service Limitations
You understand and acknowledge that Nationwide TC and its team members will not act as licensed real estate professionals and are prohibited from performing any duties requiring a real estate license. You agree that you are responsible for supervising all Nationwide TC services. You further agree not to request, expect, or accept any service from us that requires a real estate license, whether ministerial or non-ministerial, as defined by the laws and regulations applicable to you. It is your responsibility to know, understand, and stay up to date on all relevant laws, rules, and regulations.
Section 3: Subscription Plans, Payments, and Charges
3.1 Payment Obligation
By requesting any of our services, including through a dedicated Transaction Coordinator, you agree to pay the full fee associated with the service provided or your selected Subscription Plan. For Transaction Coordinator services, payment is due upon the completion of the Transaction Coordinator’s tasks. By submitting a request for services—whether in person, in writing, over the phone, or through any website or application—you acknowledge your responsibility to pay the applicable fee. You must keep a valid payment method on file with Nationwide TC at all times while we provide services to you, whether under a Subscription Plan or an individual service request. Unless otherwise agreed in writing, all fees will be automatically charged to your payment method as they become due. You may update or change your payment method at any time.
3.2 Subscription Plans
When you purchase a subscription (“Subscription Plan”) with Nationwide TC, you expressly authorize us (via our third-party payment processor) to charge you $199 for the term of your Subscription Plan each time your payment is due. This fee covers only the subscription and does not include additional fees that may apply based on the services or transactions coordinated by a Transaction Coordinator (“Transaction”). If there is no prepaid credit available for a Transaction, additional charges may apply according to your Subscription Plan.
We may request additional information related to your Subscription Plan, including your credit card number (or other payment details), the expiration date of your card, and your email and postal addresses for billing and notifications (“Payment Information”). You represent and warrant that you have the legal right to use all payment methods provided in your Payment Information. By initiating a Subscription Plan and payment, you authorize us to share your Payment Information with third parties as needed to complete your Transactions and to charge your selected payment method for any applicable fees, taxes, or other charges.
3.3 Effect of Subscription Plan Cancellation or Termination
The $199 subscription fee covers access to Nationwide TC’s Subscription Plan only and does not include additional fees for specific services or transactions. YOUR PURCHASE IS FINAL, AND YOU WILL NOT BE ABLE TO CANCEL OR RECEIVE A REFUND OF YOUR SUBSCRIPTION FEE AT ANY TIME. However, if we cancel your Subscription Plan or access to Services for any reason other than non-payment, we will issue a pro-rated refund for any prepaid amounts.
You may cancel your Subscription Plan by providing written notice and following the required cancellation process. Upon cancellation, we will:
(i) terminate your access to the Services, and
(ii) stop billing for the Subscription Plan at the end of the current subscription period.
EXCEPT AS SET FORTH ABOVE, NO REFUND WILL BE ISSUED FOR ANY PORTION OF THE SUBSCRIPTION FEE PAID FOR THE CURRENT SUBSCRIPTION PERIOD. You remain responsible for all Subscription Fees and any additional fees incurred for specific services or transactions, including applicable taxes and charges.
You acknowledge and agree that Nationwide TC has no obligation to retain your data after cancellation, suspension, or termination of your Subscription Plan, and such data may be permanently deleted.
3.4 Failed Payments
If any payment for your Subscription Plan or any Transaction provided by Nationwide TC fails due to insufficient funds or incorrect payment information, all services provided by Nationwide TC will be stopped until the balance is paid in full. Payment must be made within three business days. You must maintain a valid credit card on file with us.
Section 4: Feedback, Surveys, and Evaluations
4.1 Feedback
We welcome feedback, comments, and suggestions for improvements to the Services (“Feedback”). You may submit Feedback by emailing us at info@nationwidetc.com. By submitting Feedback, you grant us a non-exclusive, transferable, worldwide, perpetual, irrevocable, fully-paid, royalty-free license, with the right to sublicense, under any and all intellectual property rights that you own or control to use, copy, modify, create derivative works based upon, and otherwise exploit the Feedback for any purpose.
4.2 Payments and Service Continuation
Failure to make timely payments for services provided by Nationwide TC will result in the suspension of all services until the outstanding balance is paid. We reserve the right to halt any ongoing or scheduled services until full payment is received. This applies to all services provided, including but not limited to transaction coordination, document processing, and administrative support. Once payment is made, services will resume in accordance with the terms previously agreed.
4.3 Evaluations, Trials, and Betas
We may offer certain services to you at no charge, including trial use and beta versions (“Beta Services”). Your use of Beta Services is subject to any additional terms that we specify and is only permitted during the term we designate (or, if not designated, until terminated in accordance with these Terms). These Terms fully apply to Beta Services, and we may modify or terminate your right to use Beta Services at any time and for any reason in our sole discretion, without liability to you. You understand that any Beta Services and their features and functionality are still under development, may be inoperable or incomplete, and are likely to contain more errors and bugs than generally available Services. We make no promises that any Beta Services will ever be made generally available. All information regarding the characteristics, features, or performance of any Beta Services, and any communication that we may engage in with you relating to the Beta Services, constitutes our Confidential Information, and may not be disclosed to any third party without our written permission. To the maximum extent permitted by applicable law, we disclaim all obligations or liabilities with respect to Beta Services.
Section 5: Content
5.1 Content Ownership, Responsibility, and Removal
For purposes of these Terms:
(i) “Content” includes text, graphics, images, music, software, audio, video, designs, interactive features, works of authorship, and any other materials made available through the Services.
(ii) “Nationwide TC Content” refers to any Content that Nationwide TC or its affiliates provide through the Services, excluding User Content.
5.2 Storage
NATIONWIDE TC IS NOT RESPONSIBLE FOR STORING ANY USER CONTENT. WE RECOMMEND THAT YOU BACK UP ALL YOUR USER CONTENT APPROPRIATELY. IN THE EVENT OF ANY LOSS OR CORRUPTION OF USER CONTENT, WE WILL MAKE COMMERCIALLY REASONABLE EFFORTS TO RESTORE THE LOST OR CORRUPTED USER CONTENT FROM OUR LATEST BACKUP, MAINTAINED IN THE NORMAL COURSE OF BUSINESS USING STANDARD ARCHIVAL PROCEDURES. WE WILL NOT BE LIABLE FOR ANY LOSS, DESTRUCTION, ALTERATION, UNAUTHORIZED DISCLOSURE, OR CORRUPTION OF USER CONTENT. OUR EFFORTS TO RESTORE LOST OR CORRUPTED USER CONTENT UNDER THIS SECTION 6.8 WILL CONSTITUTE OUR SOLE LIABILITY AND YOUR SOLE AND EXCLUSIVE REMEDY IN SUCH AN EVENT.
5.3 General Prohibitions and Our Enforcement Rights
You agree not to (and ensure that none of your Authorized Users) do any of the following:
- Post, upload, publish, submit, or transmit any Content that: (i) infringes on a third party’s patent, copyright, trademark, trade secret, moral rights, or other intellectual property rights, or rights of publicity or privacy; (ii) violates or encourages conduct that would violate any applicable law or regulation or result in civil liability; (iii) is fraudulent, false, misleading, or deceptive; (iv) is defamatory, obscene, pornographic, vulgar, or offensive; (v) promotes discrimination, bigotry, racism, hatred, harassment, or harm against any individual or group; (vi) is violent or threatening or promotes violence or threats against any person or entity; or (vii) promotes illegal or harmful activities or substances;
- Use, display, mirror, or frame the Services or any individual element within the Services, including Nationwide TC’s name, trademark, logo, or other proprietary information, without our express written consent;
- Access, tamper with, or use non-public areas of the Services, our computer systems, or the technical delivery systems of our providers;
- Attempt to probe, scan, or test the vulnerability of any system or network associated with Nationwide TC or breach any security or authentication measures;
- Avoid, bypass, remove, deactivate, impair, descramble, or otherwise circumvent any technological measure implemented by Nationwide TC or any third party to protect the Services or Content;
- Attempt to access or search the Services or Content, or download Content from the Services using any automated tools, including spiders, robots, crawlers, or data mining tools, other than general-purpose web browsers;
- Send any unsolicited or unauthorized advertising, promotional materials, emails, junk mail, spam, chain letters, or other forms of solicitation;
- Use any meta tags or other hidden text or metadata utilizing Nationwide TC’s trademark, logo, URL, or product name without express written consent;
- Use the Services or Content for the benefit of any third party or in any manner not permitted by these Terms;
- Forge any TCP/IP packet header or any part of the header information in any email or newsgroup posting, or use the Services to send altered, deceptive, or false source-identifying information;
- Attempt to decipher, decompile, disassemble, or reverse-engineer any software used to provide the Services or Content;
- Interfere with, or attempt to interfere with, the access of any user, host, or network, including sending a virus, overloading, flooding, spamming, or mail-bombing the Services;
- Collect or store any personally identifiable information from the Services from other users without their express permission;
- Impersonate or misrepresent your affiliation with any person or entity;
- Violate any applicable law or regulation; or
- Encourage or enable any other individual to engage in any of the above activities.
Although we are not obligated to monitor access to or use of the Services or Content, we reserve the right to do so for operational purposes, to ensure compliance with these Terms, and to comply with legal requirements. We may remove or disable access to any Content at our sole discretion, without notice, if we determine it violates these Terms. We may also investigate violations and cooperate with law enforcement authorities to prosecute those who violate the law.
5.4 Copyright Policy
To prevent infringement of intellectual property rights, including those of third parties, we may: (1) remove User Content without liability, (2) suspend access to the Services, or (3) terminate the accounts of users who repeatedly infringe or are reasonably believed to repeatedly infringe the rights of copyright holders. Acknowledgment
These are the Terms and Conditions governing the use of this Service and the agreement that operates between You and the Company. These Terms and Conditions set out the rights and obligations of all users regarding the use of the Service.
Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms and Conditions. These Terms and Conditions apply to all visitors, users, and others who access or use the Service.
By accessing or using the Service, You agree to be bound by these Terms and Conditions. If You disagree with any part of these Terms and Conditions, then You may not access the Service.
You represent that you are over the age of 18. The Company does not permit those under 18 to use the Service.
Your access to and use of the Service is also conditioned on Your acceptance of and compliance with the Privacy Policy of the Company. Our Privacy Policy describes Our policies and procedures on the collection, use, and disclosure of Your personal information when You use the Application or the Website and informs You about Your privacy rights and how the law protects You. Please read our Privacy Policy carefully before using Our Service.

Our Service may contain links to third-party websites or services that are not owned or controlled by the Company.
The Company has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that the Company shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.
We strongly advise You to read the terms and conditions and privacy policies of any third-party websites or services that You visit.
Governing Law
The laws of the United States, excluding its conflicts of law rules, shall govern these Terms and Your use of the Service. Your use of the Application may also be subject to other local, state, national, or international laws.
Disputes Resolution
If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting the Company.
Legal Compliance
You represent and warrant that (i) You are not located in a country that is subject to a U.S. government embargo, or that has been designated by the U.S. government as a “terrorist-supporting” country, and (ii) You are not listed on any U.S. government list of prohibited or restricted parties.
Translation Interpretation
These Terms and Conditions may have been translated if We have made them available to You on our Service. You agree that the original English text shall prevail in the case of a dispute.
Changes to These Terms and Conditions
We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material, We will make reasonable efforts to provide at least 30 days’ notice before any new terms take effect. What constitutes a material change will be determined at Our sole discretion.
By continuing to access or use Our Service after those revisions become effective, You agree to be bound by the revised terms. If You do not agree to the new terms, in whole or in part, please stop using the website and the Service.
